In the Citibank Electronic Statement User Agreement ("Agreement"), "you", "your" or "yours" refer to any holder of a Citicard or a Citibank VISA/MasterCard and a Citicard Number, and ATM Personal Identification Number ("ATM PIN") and/or Credit Card Number and Cash Advance Personal Identification Number ("Cash Advance PIN"), a Citibank Online Username, Password and Security Questions / Responses, and additionally, in the case of Electronic Statement transmitted as an an e-mail attachment, an Electronic Statement Password, and "we", "us" and "our", the "Bank" and "Citibank" refer to Citibank, N.A., Philippine Branch.

A Citicard or a Citibank VISA/MasterCard, on which there is a number (the "Card Number") has been or may at your request be issued by us, and a Citibank Online Username, Password and Security Questions / Responses assigned by you, and additionally, in the case of Electronic Statement transmitted as an e-mail attachment, an Electronic Statement Password, for all or any of your accounts from time to time opened and maintained with or made available by us (collectively the "Accounts") to enable you to have direct access to any of the Accounts or to effect specified banking/card transactions via the use of personal computers or similar access devices ("customer terminal"). In consideration of our agreement to provide Citibank Electronic Statement, you agree that:

ACCEPTANCE. By using Citibank Electronic Statement, you have accepted and agreed to be bound by all operational rules and general terms and conditions governing Citibank Electronic Statement, including without limitation all the following paragraphs and to pay any fee associated with the use of Citibank Electronic Statement. You likewise agree to be bound by any and all laws, rules, regulations and official issuance applicable to Citibank Electronic Statement, now existing or which may hereinafter be enacted, issued or enforced, as well as such other terms and conditions governing the use of other facilities, benefits or services we may from time to time make available to you in connection with Citibank Electronic Statement.

SERVICES. Citibank Electronic Statement means the Bank's online viewing facility wherein we provide through the medium of the customer terminal and e-mail the electronic form of the monthly statement/s of your Accounts (the "Statement of Account"), to allow you to view the Statement of Account online, or as an attachment in an e-mail on statement date as well as transmit instructions pertinent to Citibank Electronic Statement.

You may gain access to Citibank Electronic Statement through the use of your  Citibank Online Username, Password and Security Questions / Responses assigned by you,  or in the case of Electronic Statement as an e-mail attachment, through the use of an Electronic Statement Password, or such other means of identification assigned to you in connection with your Accounts.

Viewing of the electronic Statement of Account version may be effected through Citibank Online Banking at our website at www.citibank.com.ph, or the Statement of Account as an attachment in an e-mail.

We shall not be liable if you are unable to gain access to the System. You understand that while the Citibank Electronic Statement is available beginning statement date 24-hours a day, some or all of the services may not be available at certain times due to maintenance and/or computer, telecommunication, electrical or network failure or for any other reasons beyond our control.

You likewise understand that for your own protection, should the wrong Citibank Online Username, Password and/or wrong Response to Security Questions be used three (3) times in one day, you will be unable to gain access to the system. We shall also lock your Citibank Online Username.You may reset your Citibank Online Username, Password and/or Security Questions / Responses through Citibank Online. You will likewise be unable to access your Statement of Account as an attachment in the e-mail should the wrong Electronic Statement Password be used. However, you can still view the Statement of Account through Citibank Online at our website at www.citibank.com.ph.

ENROLLMENT. You shall enroll in Citibank Electronic Statement and provide the e-mail address before you are allowed to use Citibank Electronic Statement. We have the absolute discretion, without giving any reason or notice, to reject any request for enrollment in Citibank Electronic Statement. You may also opt to have your Statement of Account delivered to you as an attachment in an e-mail using the e-mail address you have provided.

Upon your enrollment in Citibank Electronic Statement, you agree that we shall no longer deliver your monthly Statement of Account to your mailing address. Instead, we will generate on statement date, and you agree to accept and view online in a timely manner, the electronic form of your monthly Statement of Account. The availability of the electronic form of your monthly Statement of Account five (5) days after statement date shall be deemed the date of the delivery of your monthly Statement of Account.

Once you have enrolled in Citibank Electronic Statement facility, all your accounts will be enrolled. We likewise reserve the right to impose a fee for Citibank Electronic Statement at our absolute discretion at any time without your prior consent.

RESPONSIBILITY. You authorize us to act only upon any instructions pertinent to Citibank Electronic Statement which are identified by any use of your Citibank Online Username, Password, Security Questions / Responses, and in the case of the Electronic Statement as an e-mail attachment, an Electronic Statement Password. We shall be responsible for acting only on those instructions sent through Citibank Electronic Statement which are actually received and you agree that we do not assume any responsibility for malfunctions in communications facilities not under our control that may affect the timeliness or accuracy of the instructions sent.

Such instructions including enrollment, cancellation, change in your Citibank Online Username, and Password and Security Questions/Responses, and Electronic Statement Password, change in e-mail address or mobile phone number, shall upon receipt by us be effected at our absolute discretion. We shall be entitled to treat and consider as valid and binding on you any instruction given, or agreement made with us, through internet by any person using your Citibank Online Username, Password and Security Questions / Responses, and in the case of the Electronic Statement as an e-mail attachment,  Electronic Statement Password. We shall neither be liable for acting upon such instructions sent nor be obliged to investigate the authenticity or authority of persons effecting your instructions or verify the accuracy and completeness of your instructions. Such instructions shall be deemed correct, complete, irrevocable and binding upon our receipt. You hereby accept full responsibility for all pertinent transactions executed via Citibank Electronic Statement in particular, in ensuring the accuracy and completeness of your instructions. We shall be entitled but not obliged to verify any instructions given using the your Citibank Online Username, Password and Security Questions / Responses, and in the case of the Electronic Statement as an e-mail attachment , Electronic Statement Password, by sending e-mail or via telephone or any other means.

You agree that we may, without notice and without stating the reason therefore, cancel or refuse to execute any of your instructions at any time without incurring liability.

SUSPENSION/CANCELLATION. We have the absolute discretion to make the Citibank Electronic Statement available to you. We have the discretion from time to time to modify, restrict, withdraw, cancel, suspend or discontinue Citibank Electronic Statement without giving any reason therefore. You understand that by using the Citibank Electronic Statement after any modification or change has been effected, you have agreed to such modification or change.

You shall likewise have the right to cancel your enrollment in Citibank Electronic Statement provided you give prior notice of such cancellation, through electronic or paper document sent to us and we acknowledge receipt of such notice.

Upon cancellation of your enrollment, we shall automatically generate the paper form of your Statement of Account and send to your mailing address the paper form of your enrolled Statement of Account on the next statement date.

After any suspension or cancellation of enrollment, Citibank Electronic Statement may be reinstated at anytime at our sole discretion and we reserve the right to impose a reinstatement charge as we deem fit (as applicable).

UNAUTHORIZED USE. You are responsible for keeping the your Citibank Online Username, Password and Security Questions / Responses, and in the case of the Electronic Statement as an e-mail attachment , your Electronic Statement Password secret and confidential and you shall not disclose your Citibank Online Username, Password and Security Questions/Responses and in the case of the Electronic Statement as an e-mail attachment, your Electronic Statement Password to any unauthorized person and shall take all steps necessary to prevent discovery of the your Citibank Online Username, Password and Security Questions / Responses, and in the case of the Electronic Statement as an e-mail attachment, your Electronic Statement Password by any unauthorized person. You shall inform us as soon as reasonably practicable if you know or suspect that someone else knows your Citibank Online Username, Password and Security Questions / Responses, and in the case of the Electronic Statement as an e-mail attachment,  your Electronic Statement Password or that unauthorized transactions have taken place or that your Citibank Online Username, Password and Security Questions / Responses, and in the case of the Electronic Statement as an e-mail attachment , your Electronic Statement Password have been lost or stolen and if you fail to do so you shall be liable for any unauthorized transactions made. You shall promptly view and examine online, your Statement of Account upon availability and if you discover any discrepancies, omissions, inaccuracies or incorrect entries, you must immediately call our 24-Hour CitiPhone Banking. You shall be liable for all losses prior to your reporting any discrepancies, omissions, inaccuracies or incorrect entries or if you act fraudulently or with gross negligence, including failing to properly safeguard your Citibank Online Username, Password and Security Questions / Responses,  and in the case of the Electronic Statement as an e-mail attachment , your Electronic Statement Password or immediately report any unauthorized transaction made.

INDEMNIFICATION. We shall not be liable for, and you agree to indemnify and keep us indemnified, against any and all proceedings, claims, losses, damages or expenses (including legal costs) arising from or in connection with the following:

(a) Our action upon any instructions which are identified by any use of your Citibank Online Username, Password and Security Questions / Responses, and in the case of the Electronic Statement as an e-mail attachment, your Electronic Statement Password;

(b) The improper or unauthorized use of Citibank Electronic Statement, your Citibank Online Username, Password and Security Questions / Responses, and in the case of the Electronic Statement as an e-mail attachment, your Electronic Statement Password;

(c) Any damage to the customer terminal, related facilities or software as a result of any access to Citibank Electronic Statement through your Citibank Online Username, Password and Security Questions / Responses, and in the case of the Electronic Statement as an e-mail attachment, your  Electronic Statement Password;

(d) Any loss or damage caused by access through your Citibank Online Username, Password and Security Questions / Responses, and in the case of the Electronic Statement as an e-mail attachment , your Electronic Statement Password when the same is prohibited, restricted, delayed or otherwise affected by

(e) Any loss or damage caused by any act or omission of any relevant internet service provider or information service provider or network provider occasioned by any access through your Citibank Online Username, Password and Security Questions / Responses, and in the case of the Electronic Statement as an e-mail attachment, your  Electronic Statement Password;

(f) Any loss or damage caused by any modification, alteration, upgrade or termination of Citibank Electronic Statement occasioned by any access through your Citibank Online Username, Password and Security Questions / Responses, and in the case of the Electronic Statement as an e-mail attachment , your Electronic Statement Password;

(g) Any access (or inability or delay in accessing) and/or use of any browser which we provide to allow access to Citibank Electronic Statement;

(i) Any delay or failure in any transmission, dispatch or communication facilities.

LIMITATION OF LIABILITY. Subject to the provisions herein, if we are found liable for any act or omission for any reason whatsoever, our liability shall be limited to the amount of the relevant transaction or your actual damages, whichever is less. We shall not be liable to you for indirect, special or consequential loss or damages arising in any way out of the use of Citibank Electronic Statement.

SECURITY. We shall use reasonable effort to ensure that Citibank Electronic Statement is secure and cannot be accessed by unauthorized third parties. However, we do not warrant the security, secrecy or confidentiality of any information transmitted through any relevant internet service provider, network system or such other equivalent system in any jurisdiction via Citibank Electronic Statement.

TRANSFER OF INFORMATION. You hereby authorize the transfer, disclosure and communication of any information relating to your Accounts, or any information thereon, or any of your properties or investments with Citibank, to any of the offices, branches, subsidiaries, affiliates, agents and representatives of Citibank, N.A. and third parties selected by any of them, wherever situated, for use (including in connection with the provision of any service or product relating to your Accounts, properties or investments and for data processing and storage, anti-money laundering monitoring, review and reporting, statistical and risk analysis purposes). In addition to the foregoing, Citibank and any branch, subsidiary, affiliate, agent, representative or third party may transfer and disclose any such information as may be required by any law or regulation. The foregoing constitutes your written consent for any transfer, and disclosure of information relating to your Accounts, properties and investments for the purposes indicated above and under applicable laws, rules and regulations. You agree to hold Citibank free and harmless from any liability that may arise from any transfer, disclosure or storage of information relating to your Accounts, properties or investments.

INTELLECTUAL PROPERTY RIGHTS. You acknowledge that all proprietary rights relating to or in connection with Citibank Electronic Statement and all updates thereof, including without limitation trademark, tradename, servicemark, patent and copyright, shall at all times vest and remain vested in us.

Citibank Electronic Statement uses proprietary software of Citibank, other Citigroup affiliates and other software suppliers. You agree that we have granted you a non-exclusive license to use this software in connection with Citibank Electronic Statement which allows you to use such software only for its intended purposes. You shall not disassemble, decompile, copy, modify or reverse engineer any such software or allow anyone else to do so.

INDEPENDENT INTERNET SERVICE PROVIDER / COMPUTER TERMINAL. You understand that any access to the Citibank Electronic Statement will be effected through the relevant internet service provider or network provider in the country from where such service is accessed, and to this extent such access will also be subject to and governed by the relevant laws and regulations of that country and any terms and conditions prescribed by such relevant internet service provider or network provider in separate agreements with you. You shall be responsible for all fees, charges and expenses, including telephone charges, which may be imposed by any internet service provider incurred in connection with the use of Citibank Electronic Statement.

You represent to the best of your knowledge that the customer terminal and any other computer system through which access may be effected by any use of Citibank Online Username, Password and Security Questions / Responses, and in the case of the Electronic Statement as an e-mail attachment , Electronic Statement Password are free from any electronic, mechanical, data failure or corruption, computer viruses and bugs and other similar problems. You agree that neither we, nor any of our officers and employees or any of our branches, affiliates or subsidiaries, is responsible for any electronic, mechanical, data failure or corruption, computer viruses and bugs or related problems that may be attributable to the services provided by any relevant internet service provider or information service provider on your computer terminal.

CHANGE OF E-MAIL ADDRESS. You shall immediately notify the Bank of any change in your e-mail address, which you have registered for Citibank Electronic Statement enrollment either through Citibank Online or the 24-Hour CitiPhone.

We shall not be responsible for the consequences of your inability to receive any Statement of Account or pay your outstanding obligations under the Card as a result of your failure to timely notify us of the change in your e-mail address.

AGREEMENT. This Agreement shall form part of the General Terms and Conditions Governing Citibank Philippine Accounts, the Terms and Conditions for the Issuance and Use of Citibank Credit Cards, Citibank Online User Agreement, and such other rules and regulations governing your Accounts with us and shall be applicable to any future Accounts which you may hereafter open with us.

GOVERNING LAW. This Agreement shall be governed by the laws of the Republic of the Philippines and the exclusive venue for all suits to enforce this Agreement is only in the proper courts of Makati City.

ELECTRONIC FORM OF STATEMENT OF ACCOUNT. We will issue a transaction reference for Bill payment transactions done through Citibank Online, although such information is not to be regarded as a bank statement or advice. We shall not print or issue any transaction reference, advice or confirmation for any other transaction conducted via the Citibank Electronic Statement although any such transaction will be recorded in your monthly Statement of Account. We shall provide you five (5) days after statement date, the electronic form of your monthly Statement of Account ("Statement of Account"). You agree to view and examine online, the Statement of Account in a timely and prompt manner. If there is delay or failure in the delivery of the electronic form of the Statement of Account to you prior to the payment due date for Citibank VISA/MasterCard Accounts, you agree to contact our 24-Hour CitiPhone Banking.

In the event of any error appearing in the Statement of Account, you agree to notify us immediately of said error by sending us via e-mail at our website at www.citibank.com.ph or by calling our 24-Hour CitiPhone Banking. If no error is reported within thirty (30) days from Statement Date, you agree and confirm that the Statement of Account is true and correct.

If you notify us online of an error in the Statement of Account, you shall not be liable to pay the disputed amount while we are investigating, but you are liable to pay such portion of the total amount due which is not in dispute on or before the Payment Due Date. We shall treat the disputed amount as an outstanding availment against the credit line. If after investigation we acknowledge the error in your Statement of Account, you are not liable to pay any finance charges related to the disputed amount only. Otherwise, you are liable to pay the disputed amount, as well as the corresponding finance charges due.

All your online communications, requests or reports on any error in the Statement of Account must be sent online to us and should contain the following information:
(a) name and account number;
(b) amount of the error, if any; and
(c) a description of the error.

PAYMENT DUE DATE. Payment of the amount due under your Citibank VISA/MasterCard Accounts should be made on or before your Payment Due Date stated in your Statement of Account to avoid late penalty charges and finance charges. If your Payment Due Date falls on a Saturday, Sunday, or Holiday, you may settle your bills on the next banking day. If we receive your payment after the Payment Due Date, we shall charge you a late payment charge.

DELINQUENT ACCOUNT. If you do not pay the minimum amount due on your Citibank VISA/MasterCard Account on the Payment Due Date, your Citibank VISA/MasterCard account shall be considered delinquent and you shall be liable to pay the late payment charges, interest and other charges, as applicable. We reserve the right to demand the full payment of your obligation in case of default.

OTHER FEES. Other fees related to but not limited to the processing of cash payments may be imposed by us. As necessary, these fees may be revised from time to time.

TRANSACTIONS MADE IN CURRENCIES OTHER THAN PHILIPPINE PESOS. All charges and transactions made in currencies other than Philippine Pesos shall, in accordance with our procedures be automatically converted to Philippine Pesos at the VISA/MasterCard currency conversion rate plus our mark-up rate in effect at the time the transaction is posted, representing your payment to us for the purchase and payment on your behalf of the foreign currency necessary to discharge the amounts due to foreign merchants. For all Cards, our mark-up rate will be added to your foreign currency transactions using VISA/MasterCard’s currency conversion rate. Your foreign currency transactions shall be subject to all applicable charges and fees on the Card, including finance charges and late charges.

LOST OR STOLEN CARD. If your Citibank VISA/MasterCard is lost or stolen, immediately report it by calling our 24-Hour CitiPhone Banking. The Lost Card Protection feature eliminates the financial liability of Citibank VISA/MasterCard holders from fraudulent use of their Citibank VISA/MasterCard from the time the loss is reported to our 24-Hour CitiPhone Banking.

You consent to the transmission of Communications through the Internet, and acknowledge that the internet is not necessarily a secure communications and delivery system, and understand the risks associated with it (among others, confidentiality, security, tampering and unauthorized use). You agree to waive any bank secrecy rights under Republic Act No. 1405, as amended, Republic Act No. 6426, as amended, Section 55.1(b) of Republic Act No. 8791 and any and all other laws on the confidentiality of bank deposits.

If you do not cancel your enrollment and/or you continue using the service, you acknowledge that you have read and understood the Citibank Electronic Statement User Agreement, and you agree unconditionally to be bound by the terms and conditions of the Citibank Electronic Statement User Agreement and all amendments, revisions and additions which we may at our absolute discretion effect from time to time.
