TERMS AND CONDITIONS GOVERNING THE USE OF Citibank Globeshopper

The words "You", "Your" and "Yours" refer to any holder of a Citibank Credit Card ("Citibank Credit Card") and a Card Number. The words "We", "Us" and "Our" refer to Citibank, N.A., Philippine Branch.

A Citibank Credit Card on which there is a number (the “Card Number”), has been or may at your request be issued by us, for a specified Citibank Credit Card account from time to time opened and maintained with or made available by us (collectively the "Accounts") to enable you to effect specified card transactions by charging designated amounts to your Accounts to pay for products and services.

You may, at your sole discretion, register your Citibank Credit Card with, and use your Citibank Credit Card to pay for the product ordering and shipping services ("Globeshopper Services") availed through the Citibank Globeshopper website (the "Shopping Site"), which is operated by Borderlinx Europe ("Borderlinx"), and which is accessible via the use of personal computers or similar access devices ("customer terminal").

Citibank Globeshopper is the product of an arrangement entered into between Borderlinx and us for the purpose of allowing a Citibank Credit Cardholder to conveniently avail of the Globeshopper Services of Borderlinx, and to pay for products and services you ordered through your Citibank Credit Card. Borderlinx shall be solely responsible for providing, operating and maintaining the Shopping Site and offering and providing the Globeshopper Services, whereas we shall act as an intermediary payment channel to allow you to pay for the products and Globeshopper Services you avail of using your Citibank Credit Card.

In consideration of our agreement to provide the means of payment on Citibank Globeshopper, you agree that:

ACCEPTANCE. By using your Citibank Credit Card on Citibank Globeshopper, you have accepted and agreed to be bound by all operational rules and general terms and conditions governing the use of your Citibank Credit Card on Citibank Globeshopper, including without limitation, all the following paragraphs, and to pay any fees associated with such use. You likewise agree to be bound by any and all laws, rules, regulations and official issuances applicable to the use of your Citibank Credit Card, now existing or which may hereinafter be enacted, issued or enforced.

CONFIRMATION OF CARDHOLDER'S DETAILS TO BORDERLINX. You further authorize and allow us to confirm to Borderlinx directly that the name, card account details (including card number, expiry date), and delivery address which you supplied on Citibank Globeshopper upon your registration matches the name, card account details, and any of your existing addresses linked to your Citibank Credit Card as reflected in our records. In this connection, you hereby consent for us to disclose your information to Borderlinx for the purpose of confirming your registration on Citibank Globeshopper.

SERVICE. Citibank Globeshopper is a shopping resource. Borderlinx shall be solely responsible for providing, operating and maintaining the Shopping Site and offering and providing the Globeshopper Services, whereas we shall act as an intermediary payment channel to provide you the means of payment for any products or Globeshopper Services you may avail of on the Citibank Globeshopper site. We have the absolute discretion to make the payment services, through your Citibank Credit Card, on Citibank Globeshopper available to you. We have the discretion from time to time to determine the scope of our payment services, modify, restrict, withdraw, cancel, suspend or discontinue any or all of our services without notice or responsibility to you and without giving any reason therefore. You understand that by using your Citibank Credit Card on Citibank Globeshopper after any modification or change has been effected, you have agreed to any such modification or change.

RESPONSIBILITY. You authorize us to act upon any payment instruction communicated through the Citibank Globeshopper site. Without prejudice to the provisions of Sections 5 and 6 hereof, we shall be responsible for acting only on those payment instructions sent through Citibank Globeshopper which are actually confirmed received and accepted by Borderlinx and transmitted to us by the latter for charging against your Citibank Credit Card account.

You acknowledge that we shall not be responsible for the provision, operation and maintenance of the Shopping Site nor for your usage of the Shopping Site. You likewise acknowledge that we shall not be responsible for any product or service purchased by you from or provided by the Merchant and/or Borderlinx (including but not limited to the ordering of any product by Borderlinx on your behalf in respect of its product ordering services and the processing of such order by Borderlinx and the shipment and/or delivery of any product – to and from any point). You further acknowledge that you shall not hold us responsible for any defective product or service purchased through Citibank Globeshopper and through the use of your Citibank Credit Card. Any complaint as to the quality of the goods or services purchased through Citibank Globeshopper shall be referred to the Merchant and/or Borderlinx and shall not affect your obligation to pay outstanding charges to us.

We shall be entitled to treat and consider as valid and binding on you any payment instruction given by any person using your Citibank Globeshopper Account Number and the Username/Password. We shall neither be liable for action upon such payment instructions sent nor be obliged to investigate the authenticity or authority of persons effecting your payment instructions or verify the accuracy and completeness of your payment instructions. Such payment instructions shall be deemed correct, complete, irrevocable and binding on you upon the Shopping Site’s confirmation of its receipt thereof. You hereby accept full responsibility for all transactions executed via Citibank Globeshopper and in particular, in ensuring the accuracy and completeness of your payment instructions.

We shall be entitled but not obliged to verify any payment instructions given through the Citibank Globeshopper site by sending e-mail online or via telephone or any other means.

You agree that we may, without notice and without stating the reason therefor, cancel or refuse to execute any of your payment instructions at any time without incurring any liability.

SUSPENSION/CANCELLATION. The suspension or cancellation of the Citibank Globeshopper website shall be at Borderlinx's discretion. We shall not be liable to you in the event of the termination, suspension or cancellation of the Shopping Site. We shall not be liable to you if you are unable to gain access to Citibank Globeshopper. You understand that Borderlinx is the entity responsible for the operation and maintenance of Citibank Globeshopper.

UNAUTHORIZED USE. You are responsible for keeping the Citibank Credit Card Number, your Citibank Globeshopper Account Number, and the Username/Password secret and confidential and you shall not disclose the Citibank Credit Card Number, Citibank Globeshopper Account Number and the Username/Password to any unauthorized person and shall take all steps necessary to prevent discovery of the Citibank Credit Card Number, Citibank Globeshopper Account Number and the Username/Password by any unauthorized person. You must promptly examine your statements upon receipt and if you discover any discrepancies, omissions, inaccuracies or incorrect entries, you must immediately call 24-Hour CitiPhone Banking.

If you know or suspect that someone else knows the Citibank Globeshopper Account Number and/or the Username/Password or that unauthorized transactions have taken place or that the Citibank Globeshopper Account Number or Username/Password has been lost or stolen, please inform Borderlinx thru phone, email or live chat on the Citibank Globeshopper website as soon as reasonably practicable; if you fail to do so you shall be liable for any unauthorized transactions made.

You shall be liable for all losses prior to your reporting such discrepancies or if you act fraudulently or with gross negligence, including failing to properly safeguard the Citibank Credit Card Number, Citibank Globeshopper Account Number and/or the Username/Password or to immediately report any unauthorized transaction made.

INDEMNIFICATION. We shall not be liable for, and you agree to indemnify and keep us indemnified, against any and all proceedings, claims, losses, damages or expenses (including legal costs) arising from or in connection with the following:

a.	our action upon any payment instructions given through Citibank Globeshopper;

b.	the improper or unauthorized use of your Citibank Credit Card, Citibank Globeshopper, your Citibank Globeshopper Account Number and Username/Password;

c.	any damage to your customer terminal or related facilities as a result of any access to Citibank Globeshopper through your Citibank Globeshopper Account Number and Username/Password;

any loss or damage caused by any access through your Citibank Globeshopper Account Number and Username/Password when the same is prohibited, restricted, delayed or otherwise affected by (i) any law or regulation of the country from where Citibank Globeshopper is accessed and/or the terms and conditions prescribed by the Shopping Site, Borderlinx, the Merchant or the relevant internet service provider in such country of access; or (ii) any law or regulation of any jurisdiction, regional or international authority which governs any use of any component of Citibank Globeshopper, the Shopping Site, any relevant internet or system;

e.	any loss or damage caused by any act or omission of Borderlinx, the Merchant or any relevant internet service provider occasioned by any access through your Citibank Globeshopper Account Number and Username/Password;

f.	any loss or damage caused by any modification, alteration, upgrade or termination of Citibank Globeshopper occasioned by any access through your Citibank Globeshopper Account Number and Username/Password;

g.	any access to (or inability or delay in accessing) Citibank Globeshopper;

h.	any errors or omissions in the information transmitted to your customer terminal through Citibank Globeshopper;

i.	any delay or failure in any transmission, dispatch or communication facilities.

j.	any product or service purchased by you from or provided by the Merchant or Borderlinx (including the ordering of any product by Borderlinx on your behalf in respect of the product ordering services and the processing of such order by Borderlinx);

k.	any defective product or service purchased through Citibank Globeshopper or paid through the use of your Citibank Credit Card;

l.	shipment and/or delivery of any product (to and from any point);

m.	any breach by Borderlinx of any of its obligations to you;

n.	the operation and maintenance of the Shopping Site and the provision of Services to you;

o.	your Usage of the Website and any claims relating to your usage of the Website;

p.	any claims in connection with the Services (including any claims for loss or damage to the products);

q.	any disruption, defect or breakdown in or failure of any system used in connection with the Citibank Credit Card transaction or for receiving any submission of request from Borderlinx or any telephone or other communication system or facilities;

r.	any taxes, duties, fees, charges and expenses, whether imposed by the national government, a local government unit, or any agency or department of the foregoing, for which you may be held liable or which may be imposed or collected in connection with the shipment and/or delivery of any product; and

s.	any act, omission or variation of these Terms and Conditions by Citibank which is required by any change in any law, regulation.

LIMITATION OF LIABILITY. Subject to the provisions herein, if we are found liable for any act or omission for any reason whatsoever, our liability shall be limited to the amount of the relevant transaction or your direct and/or actual damages whichever is less. We shall not be liable to you for any indirect, special or consequential loss or damages arising in any way out of the use of your Citibank Credit Card on Citibank Globeshopper.

SECURITY. Borderlinx shall be responsible for the security of the Citibank Globeshopper site. We do not warrant the security of the Shopping Site or the security or confidentiality of any information transmitted through the Shopping Site, the Merchant or any internet service provider in any jurisdiction via Citibank Globeshopper.
You shall notify us immediately upon receipt of any data or information which is not intended for you and you shall delete such data or information from your equipment immediately.

10.

RETURNS, EXCHANGES AND REFUNDS. Returns, exchanges and refunds shall be subject to the terms and conditions of your agreement with Borderlinx, the specific Merchant's return policy, and the applicable settlement and chargeback criteria of the card operating scheme. You shall be responsible for coordinating with the Merchant and Borderlinx for any return, exchange or refund, and any such matter shall be settled directly between you and the Merchant and/or Borderlinx. Any request for return, exchange or refund pending with the Merchant and/or Borderlinx shall not affect your obligation to pay us for any outstanding charges to your Card.
You acknowledge that the amount that may be refunded to your Citibank Credit Card account may be net of shipping/delivery costs and/or customs duties and taxes and other charges paid to the applicable entities.

11.

SETTLEMENT. We shall not print or issue any advice or confirmation for any transaction conducted via Citibank Globeshopper although any such transaction using the Citibank Credit Card will be recorded in the monthly statement issued by us. Transaction details as recorded by us will be conclusive (for example, as to the type and amount of the transaction and the time and date it occurred).

12.

TRANSFER OF INFORMATION. You hereby authorize the transfer of any information on your Accounts to any of our branches, subsidiaries, affiliates and agents or authorized third parties selected by us. You hereby hold us free and harmless from any liability that may arise from such disclosure.

13.

INDEPENDENT SHOPPING SITE. You understand that any access to Citibank Globeshopper will be effected through the Shopping Site, and to this extent such access will also be subject to and governed by the relevant any terms and conditions prescribed by the Shopping Site in separate agreements with you. You shall be responsible for all fees, charges and expenses which may be imposed by Borderlinx in connection with the use of Citibank Globeshopper.
You represent to the best of your knowledge that your internet equipment through which access may be effected by any use of the Citibank Globeshopper Account Number and Username/Password are free from any electronic or mechanical defect, data failure or corruption, viruses, bugs and other similar problems. You agree that neither we, nor any of our officers and employees or any branch, affiliate or subsidiary of Citigroup Inc., is responsible for any electronic or mechanical defect, data failure or corruption, computer viruses and bugs or related problems that may be attributable to your internet equipment and/or the services provided by the Shopping Site or any relevant internet service provider.

14.

AGREEMENT. This agreement shall form part of the Terms and Conditions Governing Issuance and Use of Citibank Credit Cards and such other rules and regulations governing your Accounts with us and shall be applicable to any future Accounts which you may hereafter open with us.

15.

GOVERNING LAW. This agreement shall be governed by the laws of the Republic of the Philippines and the exclusive venue for all suits to enforce this agreement is only in the proper courts of Makati City.
